By participating in the METAlliance Academy sessions (the “Sessions”), currently scheduled for March 20-21, 2010, at the Capitol Records Tower Studios in Los Angeles, California, the Participant agrees to be bound by this Agreement, which the Participant is entering into in consideration of METAlliance’s agreement to permit the Participant to participate in the Sessions. 2. The Participant hereby irrevocably assigns to METAlliance any and all of the Participant’s rights under any and all applicable laws throughout the world to any contributions of any nature which are included in or contributed to any audio, video or audio/video recording, composition, arrangement or other original work of authorship during or in connection with any Session (collectively, “Contributions”), including, without limitation, any music, lyric, sound recording, performance, arrangement, or other original work of authorship thus included or contributed, whether or not any such Contribution is registrable under copyright laws. This is not a license grant. This is a transfer of ownership of any and all rights the Participant may have in any Contributions. 3. The Participant hereby waives any and all rights to compensation of any nature and any and all rights of credit, co-authorship or attribution in connection with any Contribution or otherwise in connection with the Participant’s participation in any Session. 4. The Participant shall have no right to receive or use for any purpose any audio, video or audio/video recording or other original work of authorship resulting from or recorded during any Session, and the Participant agrees that no right or license is granted by implication or otherwise under any mark, trademark, service mark or trade name of METAlliance as a result of the Participant’s participation in the Session or otherwise. 5. The Participant shall not record, in any format or medium, any Session. The Participant shall not publish or otherwise disclose to the public through any medium of any nature any techniques, lessons or other information learned during any Session. The Participant shall comply with any and all other conditions to participation in the Sessions required by METAlliance and all rules of the recording studio in which the Sessions are held. 6. The Participant shall indemnify (a) METAlliance and its employees, officers, managers, members and agents, and (b) each owner, lessor and operator of any premises at which any Session is held, against, and hold each of them harmless from, any and all liabilities, losses, damages, expenses, costs of every nature and causes of action arising out of or in connection with the Participant’s participation in any Session, including, without limitation, any such liabilities, losses, damages, expenses, costs and causes of action arising out of or in connection with any injury to any person, damage to any property or violation or infringement of any copyright or other right proximately caused by the Participant during or in connection with any Session. 7. If, for any reason, the transfer of the Participant’s rights to any Contribution by the Participant hereunder is not legally valid, the Participant hereby grants to METAlliance a non-exclusive, transferable, sub-licensable, royalty-free, irrevocable, perpetual, worldwide right and license to reproduce, make derivative works from or other wise exploit such Contribution. 8. At METAlliance’s expense and at any time upon the reasonable request of METAlliance, the Participant shall promptly execute, acknowledge and deliver such further documents and do such other acts and things as METAlliance may request in order to effect fully the purposes of this Agreement. This Agreement constitutes the entire agreement between METAlliance and the Participant with respect to the subject matter hereof and supersedes any and all prior communications, discussions and correspondence concerning the subject matter hereof. This Agreement may be amended or modified only in writing signed by the party to be bound.
